The terms governing access to and use of the Volentegy™ Mining Intelligence Platform.

| Platform | The Volentegy™ Mining Intelligence Platform, including all modules, interfaces, APIs, and the Volty™ AI engine. |
| Client | The legal entity that has entered into a Subscription Agreement with Sinai Berakah. |
| User | Any individual authorised by the Client to access the Platform. |
| Volty™ | The proprietary artificial intelligence engine embedded in the Platform. |
| Subscription | The tier-based access licence described in the Subscription Agreement. |
| Operational Data | Data uploaded, generated, or processed by the Client through the Platform. |
Access to the Platform is granted on a subscription basis. The Client selects a tier (Pilot, Starter, Growth, or Enterprise) as specified in the Subscription Agreement. Each tier defines the number of sites, users, and modules available.
The Client may use the Platform solely for its internal mining operations management. The following are strictly prohibited:
All intellectual property rights in the Platform, including the Volty™ AI engine, all module designs, algorithms, and training methodologies, vest exclusively in Sinai Berakah (Pty) Ltd.
The Client retains all ownership of its Operational Data. By using the Platform, the Client grants Sinai Berakah a limited, non-exclusive licence to process Operational Data solely for the purpose of delivering the Platform services.
Important: Operational Data is never used to train Volty™ or any upstream AI model. This is a binding commitment under §2 of the Data Processing Agreement.
The Platform is provided as a decision-support intelligence tool. Sinai Berakah warrants that:
Sinai Berakah's total aggregate liability shall not exceed three months of the Client's subscription fees. Sinai Berakah is not liable for consequential, indirect, or punitive damages arising from use of Platform outputs.
Either party may terminate the Subscription Agreement with 30 days written notice at the end of any billing period. Sinai Berakah may terminate immediately for material breach, including non-payment exceeding 30 days.
On termination, the Client's access is suspended and all Operational Data stored on Sinai Berakah infrastructure is purged within 30 days unless an export has been requested.
This Agreement is governed by the laws of the Republic of South Africa. Disputes shall be resolved in the High Court of South Africa, Gauteng Division, Pretoria, to whose jurisdiction the parties consent.
